Selling Your Business?

An independent valuation before you go to market helps you set a realistic price, understand what a buyer will question, and negotiate from evidence.

  • A realistic value range before you go to market
  • The issues buyers will question, found first
  • Shorter-form report, fixed fee

What we do

We value the business on the basis a buyer is likely to use, and show you which earnings, assets and risks are driving that value.

We identify issues that commonly reduce offers or stall due diligence, so you can address them or prepare an explanation before buyers find them.

Issues that often complicate the work

  • Add-backs a buyer will accept

Owner expenses run through the business are often added back to profit. Buyers accept some and challenge others. We separate the defensible from the optimistic.

  • Customer concentration

A large share of revenue from a few customers or one contract increases risk and usually lowers the earnings multiple.

  • Dependence on you

If the business needs you to win work or keep clients, a buyer may want an earn-out, a long handover or a lower price.

  • Equipment, stock and working capital

What is included in the sale, and the level of working capital the buyer expects to receive, often decides the final settlement amount.

Our approach

  • Normalise earnings and document each adjustment so it can be explained to a buyer or broker.
  • Assess the risks a buyer will price in, and test the value under reasonable alternative assumptions.
  • Provide a valuation range and a clear explanation of what supports it.

Questions people ask

What is an earn-out when selling a business?

An earn-out pays part of the sale price later, depending on how the business performs after the sale. Buyers use it when value depends on the seller staying involved or on uncertain future results. It can bridge a price gap but carries risk for the seller, so the targets and measurement need careful drafting.

Questions we are often asked

Is a broker's appraisal the same as a valuation?

No. A broker's appraisal estimates a marketing price. An independent valuation explains the earnings, method and assumptions behind a value and is not tied to a sale commission.

When should I get a valuation before selling?

Ideally 12 to 24 months before you plan to sell. That leaves time to fix issues that would otherwise reduce the price.
